This agreement between Trask Digital and ________________ (SEO reseller) is entered on ___________ (Date). This non exclusive partnership agreement is to be used only as a guideline and does not contractually oblige the reseller to use Trask Digital for any specific period of time.

1. Definitions:
• Trask Digital – The ‘company’ providing SEO reseller service.
• Reseller represents the independent contractor who will resell the SEO services of Trask Digital as explained below.
•  ‘I’/ ‘me’ – represents the reseller company or a natural person signing the partnership agreement
•  ‘Client’ – The company or person for whom SEO/SEM service is provided to.
2. It is understood that I as an SEO reseller is not employed by Trask Digital as an extension, franchise owner or an employee. I will also not be treated as an employee for purposes of  laws relating to employees such as Federal Insurance Contributions Act, Income Tax Withholding at source and Federal Unemployment Tax act. Trask  Digital also agrees to provide appropriate documentation to the SEO reseller who in turn is responsible for taxes with the relevant government bodies.
3. I will conduct my activities with integrity, honesty and in a manner not violating the SEO Reseller Code of Ethics of Trask Digital and the laws governing me and Trask Digital.
4. By signing this agreement, Trask Digital unless requested by the SEO reseller will not communicate with the reseller’s end client.
5. It is understood by me that unless agreed in writing, Trask Digital prohibits usage/ replication in any form of their website content, logo or its name.
6. Trask Digital agrees to not approach clients directly – current or previous and will service only SEO resellers.
7. All business information and communication between the SEO reseller and Trask Digital will be kept confidential.
8. Any business references by Trask Digital will never mention the end client unless permitted in writing by the SEO reseller.
9. SEO services are time dependent and needs to be undertaken continuously during the campaign period.  Any pause in activity does not guarantee ranking. All payments due to Trask digital needs to be paid within the due date, else the campaign will be placed on hold till payment is received. Payments will be due to Trask Digital either on the 1st or the 15th of every month depending on the campaign start date and invoices will be sent out 5 days before the due date.
10. Any representations, statements or information regarding Trask Digital will be made only based on the materials provided by them and I agree not to make any false or misleading statements on Trask Digital, our agreement, their services or products.
11. I have the right and the liberty without the knowledge or the involvement of Trask Digital to transfer the rights of ownership or management to any other company, partnership or person.
12. The terms and conditions between me and Trask Digital does not in any way represent the agreement I have with my client. Both are independent and exclusive of each other.
13. Trask digital with a reasonable notice of not less than thirty days to the reseller may amend the procedures and policies or the terms and conditions.
14. Including the FAQs, procedures and policies, this agreement represents the complete terms of partnership between Trask Digital and the SEO reseller. Unless otherwise agreed in writing, no other agreements, guarantees, representations or promises shall stand valid.
15. Trask Digital shall not commence its services unless advance payment is received from the reseller to the Paypal ID of Trask Digital.
16. The laws of the INDIA shall be binding to this agreement. Any disputes that cannot be resolved shall be escalated to an Arbitral at a location determined by the legal counsel of Trask Digital.
17. For delayed payments over 5 days, the campaign work shall recommence from the next billing cycle. For example, if a payment is received on the 21st which was due on the 15th, work shall recommence from the 1st of the next month and will be billed on 1st to 1st monthly cycle. Similarly, services on projects whose payment were due on the 1st and paid on 6th will recommence on the next work cycle i.e., 15th to 15th.
18. I understand that any time gap on SEO work being undertaken on the client can hamper the effectiveness of the campaign and the rankings. SEO guarantee will be void if the time gap was on account of the reseller delaying the payment to Trask Digital.
19. Trask Digital has the right to terminate this agreement and immediately stop servicing the client if the reseller fails to abide by the terms mentioned in this agreement or the policies mentioned online by Trask Digital.
